Acceptable Use Policy

This Acceptable Use Policy applies to MeridianHub's website, application, software, features, services, and related technologies (collectively, the "Services"). It forms part of the terms governing your use of the Services.

This policy is intended to protect MeridianHub, our customers, users, third parties, and the security and integrity of the Services from unlawful, abusive, fraudulent, harmful, or unauthorized activity.

Violation of this policy may result in restriction, suspension, or termination of access to some or all of the Services, consistent with our Terms. Where required or permitted by applicable law, we may preserve information or report activity to appropriate authorities.

Fair Use

The Services are intended for ordinary legitimate business use consistent with the features, limits, and Subscription purchased.

You must not use the Services in a manner that materially degrades availability, security, or performance for MeridianHub or other users, including through excessive automated requests, abusive resource consumption, unauthorized scraping, or attempts to circumvent technical or usage limitations.

Where usage materially exceeds applicable limits or threatens the security, stability, or availability of the Services, we may reasonably restrict, throttle, suspend, or require changes to that usage.

Additional fees will apply only where an applicable Subscription, order, pricing page, or other agreement expressly provides for those fees.

We are opposed to abuse, unlawful discrimination, infringement of rights, and conduct that unlawfully harms another person or organization. Customers and users must use the Services consistently with these requirements.

Customer Accountability

We regard our customers as being responsible for their own actions as well as for the actions of anyone using our Services with the customer's permission. This responsibility also applies to anyone using our Services on an unauthorized basis as a result of the customer's failure to put in place reasonable security measures.

By accepting Services from us, our customers agree to ensure adherence to this policy on behalf of anyone using the Services as their end users. Complaints regarding the actions of customers or their end-users will be forwarded to the nominated contact for the account in question.

If a customer - or their end-user or anyone using our Services as a result of the customer - violates our Acceptable Use Policy, we may restrict, suspend, or terminate Services associated with the offending account, or take other reasonable remedial or preventative action, in accordance with the suspension, termination, notice, and remedy provisions of our Terms. To the extent permitted by law, no credit will be available for interruptions of service resulting from any violation of our acceptable use policy.

Prohibited Activity

Copyright Infringement and Access to Unauthorized Material

Our Services must not be used to transmit, distribute or store any material in violation of any applicable law. This includes but isn't limited to:

  • any material protected by copyright, trademark, trade secret or other intellectual property right used without proper authorization, and
  • any material that is obscene, defamatory, constitutes an illegal threat or violates export control laws.

The customer is solely responsible for all material they input, upload, disseminate, transmit, create or publish through or on our Services, and for obtaining legal permission to use any works included in such material.

Spam and Unauthorized Message Activity

The Services must not be used to send, facilitate, or support spam or other electronic communications in violation of applicable law.

Users are responsible for complying with laws and regulations applicable to their communications, including requirements concerning sender identification, consent where required, marketing disclosures, opt-out or unsubscribe mechanisms, honoring opt-out requests, telephone or text-message communications, and maintaining any records of consent required by law.

You must not use the Services to:

  • send deceptive, fraudulent, misleading, or unlawfully unsolicited communications;
  • use false or misleading sender, routing, caller-identification, or subject-line information;
  • continue sending marketing communications to a recipient after an applicable opt-out or unsubscribe request must be honored;
  • harvest email addresses, telephone numbers, or other contact information through unlawful or unauthorized means;
  • use contact lists obtained through unlawful harvesting, credential theft, unauthorized access, or other unlawful means;
  • use automated calling, prerecorded communications, text messaging, or similar technologies without any consent or authorization required by applicable law; or
  • use MeridianHub to evade restrictions, suppression lists, opt-outs, consent requirements, or anti-spam protections.

Where applicable law permits commercial outreach without prior opt-in, this policy does not independently require prior opt-in solely because the communication is commercial. All other applicable legal and policy requirements continue to apply.

Transactional or service-related communications must not be disguised as a means to circumvent rules applicable to marketing communications.

Unethical, Exploitative, and Malicious Activity

Our Services must not be used for the purpose of advertising, transmitting or otherwise making available any software, program, product or service designed to violate this acceptable use policy, or the acceptable use policy of other service providers. This includes but isn't limited to facilitating the means to send spam and the initiation of network sniffing, pinging, packet spoofing, flooding, mail-bombing and denial-of-service attacks.

Our Services must not be used to access any account or electronic resource where the group or individual attempting to gain access does not own or is not authorized to access the resource (e.g. "hacking", "cracking", "phreaking", etc.).

Our Services must not be used for the purpose of intentionally or recklessly introducing viruses or malicious code into our Services and systems.

Our Services must not be used for purposely engaging in activities designed to harass another group or individual. Our definition of harassment includes but is not limited to denial-of-service attacks, hate-speech, advocacy of racial or ethnic intolerance, and any activity intended to threaten, abuse, infringe upon the rights of or discriminate against any group or individual.

Other activities considered unethical, exploitative and malicious include:

  • Obtaining (or attempting to obtain) services from us with the intent to avoid payment;
  • Using our facilities to obtain (or attempt to obtain) services from another provider with the intent to avoid payment;
  • The unauthorized access, alteration or destruction (or any attempt thereof) of any information about our customers or end-users, by any means or device;
  • Using our facilities to interfere with the use of our facilities and network by other customers or authorized individuals;
  • Publishing or transmitting any content of links that incite violence, depict a violent act, depict child sexual abuse material (CSAM) or threaten anyone's health and safety;
  • Any act or omission in violation of consumer protection laws and regulations;
  • Any violation of a person's privacy.

Our Services may not be used by any person or entity, which is involved with or suspected of involvement in activities or causes relating to illegal gambling; terrorism; narcotics trafficking; arms trafficking or the proliferation, development, design, manufacture, production, stockpiling, or use of nuclear, chemical or biological weapons, weapons of mass destruction, or missiles; in each case including any affiliation with others whatsoever who support the above such activities or causes.

Unauthorized Use of MeridianHub Property

We prohibit the impersonation of MeridianHub, the representation of a significant business relationship with MeridianHub, or ownership of any MeridianHub property (including our Services and brand) for the purpose of fraudulently gaining service, custom, patronage or user trust.

Account, Access, Billing, and Data Abuse

You must not:

  • share Account credentials with another person or allow multiple individuals to use a single individual Account;
  • circumvent or attempt to circumvent Subscription, paid Seat, usage, role, permission, billing, or access restrictions;
  • use External Collaborator access to avoid paid internal Developer Seat requirements;
  • access or attempt to access another user's, customer's, Team's, Organization's, or project's information without authorization;
  • alter, destroy, copy, export, disclose, or use Customer Content without sufficient authorization;
  • manipulate invitations, memberships, billing records, payment flows, entitlements, or permissions to obtain Services or access for which you are not authorized;
  • exploit errors, race conditions, vulnerabilities, or other technical defects to obtain unauthorized access, privileges, Services, credits, or financial benefit;
  • conduct unauthorized vulnerability scanning, penetration testing, scraping, crawling, automated extraction, or similar activity against the Services; or
  • attempt to bypass authentication, security controls, rate limits, technical restrictions, or other protective measures.

Good-faith reports of suspected security vulnerabilities may be submitted to MeridianHub through our designated support or security contact. Reporting a suspected vulnerability does not authorize exploitation, unauthorized access, data access, persistence, disruption, or testing beyond what is expressly authorized by MeridianHub.

Real Estate, Fair Housing, Credit, and Unlawful Discrimination

The Services must not be used to engage in, facilitate, encourage, or automate unlawful discrimination.

You are responsible for complying with all laws applicable to your real estate, housing, lending, advertising, client-service, and professional activities.

You must not use MeridianHub, including AI-Assisted Features, Customer Content, filtering, communications, workflows, or other functionality:

  • to unlawfully discriminate against any person or group;
  • to make or facilitate unlawful housing-availability, eligibility, steering, advertising, or other housing-related decisions;
  • to make unlawful credit, lending, or financing eligibility decisions;
  • to target, exclude, rank, prioritize, or treat individuals differently in a manner prohibited by applicable fair housing, civil rights, consumer-protection, or anti-discrimination law;
  • to conceal or facilitate discriminatory practices; or
  • to represent that MeridianHub has approved, verified, or legally validated a customer's professional or regulatory decisions.

MeridianHub provides software tools and does not determine whether a customer's real estate, housing, credit, advertising, or professional activities comply with applicable law.

About This Policy

This policy provides a non-exclusive list of activities and uses that MeridianHub considers unacceptable. Conduct not expressly listed may still violate this policy if it is unlawful, fraudulent, abusive, harmful, unauthorized, or inconsistent with the security or intended operation of the Services.

We may update this policy from time to time in accordance with the Changes to Our Terms provisions of our Terms.

We will provide notice of material changes where required by applicable law. Where applicable law requires affirmative acceptance of a change, continued use of the Services alone will not substitute for that required acceptance.
